MUNDIDA | Digital Marketing Agency

1. Services Provided:

1.1 The Agency undertakes to provide digital marketing services as specified in the agreed proposal or agreement.

2. Customer Responsibilities:
2.1 The Client undertakes to provide timely and accurate information necessary for the execution of digital marketing services.
2.2 The Client is responsible for obtaining any necessary permissions, licenses or approvals for content provided to the Agency.

3. Payment Terms:
3.1 Payment details, including amounts, frequency and method, will be specified in the agreement or invoice.
3.2 Delays in payments may result in additional costs or suspension of services.

4. Duration and Termination:
4.1 The agreement will begin on the date specified and continue for the agreed duration.
4.2 Either party may terminate the agreement with written notice in the event of a breach of obligations by the other party.

5. Intellectual Property:
5.1 The Customer retains ownership of its pre-existing intellectual property.
5.2 The Agency retains ownership of the methodologies, tools and any intellectual property developed specifically for the Client during the collaboration.

6. Confidentiality:
6.1 Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the collaboration.

7. Performance Metrics:
7.1 Key Performance Indicators (KPIs) will be defined and regularly evaluated to measure the success of digital marketing efforts.

8. Liability and Compensation:
8.1 The Agency is not responsible for any damage resulting from factors beyond its control.
8.2 Both parties agree to indemnify and hold each other harmless from any claims arising out of the services provided.

9. Applicable Law:
9.1 This agreement is governed by the laws of the Reg. EU 2022/2065, and any disputes will be resolved by arbitration or through appropriate legal process.

10. Changes:
10.1 The terms and conditions may be modified with the written consent of both parties.

11. Entire Agreement:
11.1 This Agreement constitutes the entire agreement between the parties and prevails over any prior agreements or understandings, written or oral.

By signing this agreement, both parties acknowledge and accept the terms and conditions stated herein.

Lead Generation Service

1. Definitions:
1.1 Agency: Reference to the company providing the lead generation service.
1.2 Client: Reference to the entity that acquires lead generation services from the Agency.
1.3 Lead: Referring to potential customers or prospects identified through lead generation activities.

2. Services Offered:
2.1 The Agency undertakes to provide lead generation services compliant with the specifications agreed with the Client.
2.2 The Agency will use ethical and legal methodologies to obtain and deliver leads to the Client.

3. Customer Responsibilities:
3.1 The Client provides accurate and timely information necessary for effective lead generation.
3.2 The Client is responsible for adequately following up on the leads provided by the Agency.

4. Payment Terms:
4.1 Payment details, including amounts, frequency, and method, will be specified in the agreement or invoice.
4.2 Late payments may result in additional costs or suspension of services.

5. Duration and Termination:
5.1 The agreement begins on the specified date and continues for the agreed duration.
5.2 Termination may occur with written notice in the event of a breach of obligations by one of the parties.

6. Lead Properties:
6.1 The leads generated are the property of the Customer.
6.2 The Agency will not use or sell leads to third parties without the written approval of the Client.

7. Confidentiality:
7.1 Both parties agree to keep sensitive information obtained during the provision of the services confidential.

8. Quality of Leads:
8.1 The Agency is committed to providing high-quality leads, but cannot guarantee the conversion of every lead into an actual customer.

9. Liability and Compensation:
9.1 The Agency is not responsible for any loss or damage arising from the Client’s use of the leads.
9.2 Both parties agree to indemnify and hold each other harmless from any claims arising out of the services provided.

10. Applicable Law:
10.1 This agreement is governed by the laws of the Reg. EU 2022/2065, and any disputes will be resolved by arbitration or through appropriate legal process.

11. Changes:
